We’re updating our Google Pay/Google Payments Additional Terms of Service on April 18, 2024, to make it easier for you to understand what to expect as you use Google Pay/Google Payments services.

Google Pay Additional Terms of Service

1. Introduction

To use  Google Pay, you must accept (1) the Google Terms of Service, and (2) these Google Pay Additional Terms of Service (the “Additional Terms”).

Please read each of these documents carefully. Together, these documents are known as the “Terms”. They establish what you can expect from us as you use our services, and what we expect from you.

If these Additional Terms conflict with the Google Terms of Service, these Additional Terms will govern for Google Pay.

Although it’s not a part of these Terms, we encourage you to read our Privacy Policy to better understand how you can update, manage, export, and delete your information.

Your use of Google Pay is subject to the Terms.  If you are using Google Wallet, the Google Pay Additional Terms of Service apply to payments functionality and features in Google Wallet. The Google Terms of Service applies to all other Google Wallet functionality and features. The Google Payments Privacy Notice describes how Google handles your payments info.

If there is any conflict between the Additional Terms and the Google Terms of Service, the Additional Terms shall prevail. If there is any conflict between the English-language version of the Terms and a version translated into another language, the English-language text shall prevail.

Certain Google Pay features were previously branded 'Android Pay'. While you may continue to see legacy references to Android Pay in shops, in apps or on websites, those features are subject to these Terms.

Your use of Google Pay requires that you agree to the following terms. Please read them carefully. In addition, please note that, to the extent that you redeem a Gift Card issued by Google Brasil Pagamentos Ltda. ("GBP") or otherwise use Play Balance, you are subject to the terms set forth in the Appendix, below.

Some products and features may not be available in all countries. Please see the Google Pay Help Centre for more information.

2. Basic requirements

By agreeing to the Terms, you represent that you are:

You will also need a Google Account; a device that meets the Service's system and compatibility requirements, which may change from time to time; working Internet access; and compatible software. Your ability to use Google Pay, and Google Pay's performance, may be affected by these factors. Such system requirements are your responsibility.

3. General description of Google Pay

Google Pay lets you save the following to your Google Account, manage them in one place and transact with Google and third parties using them:

4. Payment methods

a) Types of payment methods

With Google Pay, you can save and manage various kinds of payment methods in your Google Account (collectively, 'Payment Methods'), including:

Availability of a given Payment Method or its compatibility with Google Pay may depend on your country of residence and other factors. The compatible Payment Method types, as well as the Payment Method uses and Google Pay features described below may not be available everywhere, and may change at any time (in which case we will notify you if required by the “Develop, improve, and update Google services” section of the Google Terms of Service).

b) Saving a Payment Method

You may be able to save a Payment Method to your Google Account through a variety of user interfaces, including the Google Pay app or website, the Google Chrome browser, the Payment Method issuer's app or website or through a Google product or service such as the Google Play Store. In order to save a Payment Method, you must complete all required information on any registration forms presented to you. The information that you provide must be current, complete and accurate, and you must maintain it as such. We may require you to provide additional information as a condition of continued use of Google Pay, or to help us determine whether to permit you to continue using Google Pay.

When you save a Payment Method, Google may store information relating to the Payment Method, such as your name and billing address. Google Pay also allows you to save other information to your Google Account that can help speed up transactions, such as a delivery address.

You authorise us to confirm that your Payment Method is in good standing with its provider, including, but not limited to, by submitting a request for a payment authorisation and/or a low-value credit and/or debit to the Payment Method, in accordance with network rules or other requirements applicable to the Payment Method.

You agree that Google Pay is for your personal use, with your own Payment Methods. If you use Google Pay with an eligible corporate card, you agree that you are doing so with your employer's authorisation and with the ability to bind your employer to these Terms.

c) Google's role

Except where Google or its affiliate is the issuer, neither Google nor its affiliates are a party to your Payment Methods' cardholder agreements, privacy policy or other terms of use. Nothing in these Terms modifies any such issuer terms. In the event of any inconsistency between these Terms and your issuer's terms or privacy policy, these Terms will govern the relationship between you and Google with respect to Google Pay, and your issuer's terms will govern the relationship between you and the issuer. Google does not make any representation or verify that any of your payment instruments is in good standing or that the issuer of your payment instrument will authorise or approve any transaction with a merchant or public transport provider when you use Google Pay for that transaction.

Except where Google or its affiliate is the issuer, neither Google nor its affiliates are involved in issuing credit or determining eligibility for credit, nor do they exercise control over: the availability or accuracy of Payment Methods or funds; the provisioning (or addition) of Payment Methods to Google Pay, or addition of funds to Payment Method balances. For any concerns relating to the foregoing, please contact your Payment Method's issuer.

d) Saving a Virtual Card Number, Linked Third-Party Account or Japanese eMoney card

The following terms apply when using Google Pay to save a Virtual Card Number, Linked Third-Party Account or Japanese eMoney card to your Google Account.

After you have begun to add a Payment Method to Google Pay and provided the information requested by Google and/or your Payment Method issuer, Google Pay will check whether the Payment Method is eligible to be used with Google Pay. All of a participating issuer's Payment Methods may not be eligible. If your Payment Method's issuer supports Google Pay and your Payment Method is eligible, when adding it you may see a screen asking you to accept the issuer's terms and conditions. Once you have done so and successfully added the Payment Method, Google Pay will store a Virtual Card Number representing your payment card's actual card number, or associate your Linked Third-Party Account or Japanese eMoney card with your Google Account, for use as described in Section 5 below.

Virtual Card Numbers that you register using Google Pay are distinct from any associated Payment Cards that you save to your Google Account. Unlike a Virtual Card Number, a Payment Card will generally not be presented to you with card art resembling the associated physical card, and cannot be used for in-store Near-Field Communication ('NFC') transactions. However, when you register a Virtual Card Number, Google Pay may also save the associated Payment Card in your Google Account as well.

You acknowledge that Google Pay may receive transaction information from your Payment Method's issuer to display richly formatted transaction details and your recent transaction history in Google Pay.

A Payment Method may be removed from Google Pay on a given device and become unusable with the Service if: (i) you delete the Payment Method from Google Pay; (ii) you delete the Payment Method from your Google Account; (iii) you erase your mobile device using Android Device Manager; (iv) you delete your Google Account; (v) your mobile device fails to connect to any Google product or service for 90 consecutive days; (vi) you do not use Google Pay on the device for 12 consecutive months; and/or (vii) your Payment Method's issuer or payment network instructs Google to remove the Payment Method from Google Pay.

5. Transacting with Payment Methods

a) On Google properties

Google Pay may allow you to initiate a payment with a 'Seller', defined as (i) a Google group company or (ii) any other seller participating in one or more of Google's marketplaces (as listed here) that offers merchandise, goods or services for sale to you, and that requests Google or its affiliates to process payments on its behalf.

You acknowledge and agree that your transaction with a Seller (a 'Google Transaction') is solely between you and the Seller. Google and its affiliates are not party to your Google Transactions and related purchases, nor are they buyer or seller in connection with any Google Transaction, unless expressly designated as such (for example, in the listing or description of the relevant merchandise, good or service on a Google-operated website or interface).

When you initiate a Google Transaction, Google may present your available Payment Methods to you at the time of transaction. After you select the Payment Method that you wish to use, Google may charge that Payment Method, or else share the Payment Method and related details with one of its affiliates, which will then process the transaction on behalf of the Seller. You authorise the charge or debit to your Payment Method as necessary to complete processing of a Google Transaction. You also authorise any crediting to your Payment Method in connection with reversals, refunds or adjustments related to a Google Transaction.

For details or terms relating to a specific Google Transaction, including refund or dispute resolution policies, please refer to the terms of service, help centre or other support materials provided by the Seller with which you transacted.

If there is a problem charging your selected Payment Method, Google may charge any other valid Payment Method that you have saved to Google Pay. Visit the Google Pay website, Google Pay app or Google settings on your Android device to manage your payment options. You also agree that a Seller may resubmit a Google Transaction for a purchase to the payment network for processing one or more times in the event that a prior Google Transaction is declined or returned by the payment network or issuer. Google may delay payment processing of suspicious transactions or transactions that may involve fraud, misconduct or violate applicable law, the Terms or other applicable Google policies, as determined at Google's sole and absolute discretion.

If a Seller offers you the ability to pay for subscriptions, your subscription will start when you click 'accept and buy' (or an equivalent phrase) on a subscription purchase. This is a recurring billing transaction. Unless otherwise stated, your subscription and the relevant billing authorisation will continue indefinitely until cancelled by you. By clicking 'accept and buy' (or equivalent), you authorise the Seller to bill your chosen Payment Method each designated billing period for the subscription. The Google Transaction amount is subject to change by the Seller during the subscription period. Cancellation of a subscription will not become effective until the end of the current billing period. You will not receive a refund for the current billing period and will continue to be able to access the relevant subscription for the remainder of the current billing period.  If these subscription terms conflict with the Seller's subscriptions terms, the Seller's terms will govern the relevant subscription.

b) With third parties

When you initiate a payment or public transport transaction using Google Pay with any party other than a Seller (such party is a 'Third Party' and such transaction is a 'Third-Party Transaction'), Google may pass details of your Payment Method and related information to the Third Party so that it can charge your Payment Method. Depending on the nature of the Third Party, a Third-Party Transaction may be for the purchase of goods or services, for public transport rides or for other purposes, such as charitable donations or gifts. A Third-Party Transaction may be initiated when you: use tap-and-pay in shops or on public transport services using NFC, barcodes or other contactless technology; select 'Google Pay' or 'Buy with Google Pay' as a payment option in an online transaction on the Third Party's website or app; or transact with the Third Party through some other online interface, such as via the Google Assistant. When you initiate an online transaction, Google Pay may also share other information, such as a billing, delivery or email address saved in your Google Account, where relevant to completing the transaction.

In a Third-Party Transaction, after passing the Payment Method and other details to the Third Party, Google will have no further involvement in the transaction, and you acknowledge and agree that such transaction is solely between you and the Third Party and not with Google or any of its affiliates. You should contact the Third Party or your Payment Method provider (for example, the issuer of your Payment Card) directly regarding any issues with Third-Party Transactions, including refunds and disputes.

When you visit a participating Third Party's website or app, Google may disclose to the Third Party whether or not you have Google Pay set up on your device so that the Third Party knows whether to offer you Google Pay as a payment option. You can opt out of Google making this disclosure in Google Pay privacy settings. Opting out could affect your ability to use Google Pay with certain merchants.

c) As part of Chrome or Android AutoFill

If you have enabled the 'AutoFill' feature on the Google Chrome browser or on your Android device, Google Pay may also present you with the option of automatically filling your saved Payment Method and address information in a Third-Party website's payment form on the Chrome browser, or in a Third-Party app's payment form on an Android device. (For more information on how AutoFill works with Google Pay, consult the Chrome Help Centre). When you use this feature, Google is not interacting with the Third-Party website or app, and is only completing your request to automatically fill certain selected information in a Third-Party form. Google has no involvement in any transaction that you complete using Chrome or Android AutoFill, and you acknowledge and agree that such transaction is solely between you and the Third Party and not with Google or its affiliates. You should contact the Third Party or your Payment Method issuer directly regarding any issues with a transaction in which you used Chrome or Android AutoFill.

Google Transactions with foreign Sellers Appendix - Brazil

This document is an appendix to the Additional Terms ("Appendix"). The provisions set out below only apply to Google Transactions made by users with foreign Sellers.

Please read this Appendix carefully before you decide whether to accept the Additional Terms. In case of conflict between the provisions set forth in this Appendix and the provisions set forth in the Additional Terms, the provisions of this Appendix shall prevail.

Google Brasil Pagamentos Ltda. ("GBP") and third parties engaged by GBP may carry out foreign exchange transactions to remit abroad amounts paid by You in connection with the purchase of Products sold by Sellers located overseas, in accordance with the applicable foreign exchange laws and regulations, with the purpose of transferring funds to the respective Sellers.

UPON ACCEPTANCE OF THIS TERMS, YOU GRANT SPECIFIC POWERS FOR GBP TO REPRESENT YOU BEFORE FINANCIAL INSTITUTIONS AND AGENTS AUTHORIZED TO OPERATE IN THE BRAZILIAN FOREIGN EXCHANGE MARKET, IN ACCORDANCE WITH ARTICLES 653 ET SEQ. OF THE BRAZILIAN CIVIL CODE, WITH POWERS TO PROVIDE INFORMATION AND EXECUTE FOREIGN EXCHANGE AGREEMENTS ON YOUR BEHALF PURSUANT TO THE FOREIGN EXCHANGE LAWS AND REGULATIONS IN FORCE, IN ORDER TO REMIT ABROAD AMOUNTS ASSOCIATED WITH THE PURCHASE OF PRODUCTS SOLD BY SELLERS LOCATED OVERSEAS. GBP MAY, AT ITS OWN DISCRETION, DELEGATE (SUBSTABELECER), TO THIRD PARTIES THE POWERS HEREBY GRANTED BY YOU, IN WHOLE OR IN PART. THIS POWER-OF-ATTORNEY SHALL REMAIN IN FORCE FOR THE DURATION OF THE SERVICES, AND YOU RATIFY ALL ACTS PERFORMED BY GBP RELATED TO THIS APPENDIX AS OF THE BEGINNING OF YOUR RELATIONSHIP WITH GBP, AS APPLICABLE.

Gift Card/Play balance Appendix - Brazil

This document is an appendix to the Additional Terms("Appendix"). The provisions set out below only apply to users who have acquired and redeemed a Gift Card issued by Google Brasil Pagamentos Ltda. ("GBP") or otherwise has added funds to Play Balance and, as a consequence, hold a prepaid payment account with GBP.

Please read this Appendix carefully before you decide whether to accept the Additional Terms. In case of conflict between the provisions set forth in this Appendix and the provisions set forth in the Additional Terms, the provisions of this Appendix shall prevail.

1. Definitions

The following defined terms are displayed in this Appendix. Capitalized terms not defined herein shall have the same meaning set forth in the Additional Terms.

"You", "you", "Your", "your" or "Buyer": a user who signs up, completes the registration or uses the Service to perform Payments.

“Seller”: (i) a Google group company, or (ii) any other seller participating in one or more of Google Websites that offers Products for sale to You, and that requests Google, GBP or Google’s affiliates to process Payments on its behalf.

“Gift Card”: a plastic gift card, digital gift card, or pin on receipt, or the like, issued by GBP that allows the Buyer to add balance to her/his Payment Account.

“Payment Account”: a prepaid payment account issued in the context of a limited-purpose payment scheme and, thus, not subject to the Central Bank of Brazil’s regulation, held by the Buyer with GBP, with the sole purpose of purchasing Products.

"Google": Google LLC.

"Google Account": the account you create with Google for the use of Google services, as defined in the Google Terms of Service.

“Google Websites”: the websites offered to you by Google, GBP or any other Google partner or affiliate company, including Google Play and YouTube.

“Payment”: the processing of a payment through the Service that results in debiting or charging the Purchase Amount of your Payment Account and crediting funds to a Seller.

“Product”: any merchandise, content, product or service that is listed for sale and that may be paid for by a Buyer using the Service.

“Purchase Amount”: the amount in reais of a Payment that will be paid by a Buyer for the acquisition of a Product and all related fees, taxes or shipping charges, as applicable.

“Service”: the services, as described in this Appendix, associated with the offering of the Payment Account, including (i) redemptions of Gift Cards and adding balance into Your Payment Account, (ii) processing of Payments, (iii) management of the Payment Account, among others.

"GBP", "we" or "our": Google Brasil Pagamentos Ltda., a payment institution and payment arranger that provides payment services exclusively within the context of its proprietary limited-purpose payment schemes, in accordance with the applicable laws and regulations.

2. Registration Requirements

To use the Service, you must complete all necessary information on the Service's registration webpage. You must create and add balance to a Payment Account, enabling its use to submit Payments and pay the fees and other obligations resulting from using the Service, as applicable.

The information that may be required to create and hold a Payment Account may include, but is not limited to, your name, contact information,  and your registry number at the Individual Taxpayer Registry (CPF). Additional information may be required, according to the regulation and contractual provisions applicable to the Services.

You are responsible for providing accurate registration information and for keeping your registration information up to date or notifying us immediately in the event of changes, subject to the consequences set forth in this Appendix. You are solely responsible, civilly and criminally, for the information provided to us. If You relocate to a residence outside of Brazil, it may result in You not being eligible for the Services.

We may verify and validate your registration information at any time with third-party verification vendors. In order to verify your registration information and comply with the applicable regulation and/or internal policies, we may use all forms of validation allowed by Brazilian laws and regulations, including public and private databases. In some cases, we may ask you to send us additional information, such as a copy of your identification document, or to answer additional questions with the purpose of helping us to verify and validate your identity, in order to comply with the applicable laws and regulations.

We will use the information you provide to us to determine if you are eligible to begin and/or continue to use the Services. The provision and process of such data is subject to the Google Payments Privacy Notice.

In case we suspect of or identify any divergence, inaccuracy, invalidity or irregularity regarding your registration or transaction information, we may immediately suspend or terminate (in accordance with sections 9 and 10 below and in line with legal and regulatory requirements) the offering of Services to you (including any redemption, Payment or withdrawal not completed) and/or request You to update and/or regularize your registration situation with GBP.

We, at our sole and absolute discretion, may refuse to approve registrations or may terminate existing registrations with or without reason or notice, except as otherwise required by applicable laws and not waived in this document.

3. Gift Cards and Transactions with Payment Accounts

3.1. Eligibility and Redemption

The only purpose of a Gift Card is adding balance to your Payment Account. To see your Payment Account balance, visit https://payments.google.com/viewPayments. For online assistance with your Gift Card, visit https://support.google.com/googleplay/go/cardhelp.

Gift Cards are valid only for users who are at least 13 years old and are domiciled in Brazil, subject to the authorization of the parent or legal guardian, when applicable, and the provision of valid and verified registration information, as per section 2 of this Appendix.

Purchase Amount is deducted from Your balance in the Payment Account. GBP can provide to You information about the redemption status of the Gift Card you have purchased. The use of Gift Cards is also subject to the Gift Cards Terms of Service, available for consultation at https://play.google.com/intl/ALL_br/about/card-terms.html.

3.2. Limitations

Gift Cards are not redeemable for cash or other vouchers, are not reloadable or refundable, cannot be combined with other Payment Methods, and cannot be resold, exchanged or transferred for value, except as required by law. [For information regarding withdrawal of your Payment Account balance, please refer to section 3.6 below.

If the Purchase Amount exceeds the amount available in your Payment Account, the Payment will be declined unless sufficient value to reach the Purchase Amount is added to your Payment Account or another valid Payment Method is selected to complete the transaction.

Once the Gift Card is purchased, you are solely responsible for all risks associated with it. GBP is not responsible for loss, theft, destruction, unauthorized use or redemption of your Gift Card by a third party. GBP disclaims all express or implied warranties regarding the loss or any other issues associated with Gift Cards before redemption. However, if you have any technical problems regarding the redemption of your Gift Card, do not hesitate to contact us by the channels set forth in this Appendix, in the Additional Terms or in the printed materials, if applicable.

3.3. Expiration of Gift Cards

The Gift Card does not have an expiration date and may be redeemed at any time.

3.4. Fees and inactivity of the Payment Account

If Your Payment Account is not used for a 5 year period, GBP may, at GBP’s sole discretion, close your Payment Account and terminate the Services, subject to the procedures set forth in section 10 below and the applicable laws and regulations. By "use" we mean redeeming a Gift Card, purchasing a Product, requesting a withdrawal or checking your Payment Account balance online.

Notwithstanding the foregoing, if Your Payment Account remains inactive for a given timeframe determined by law, without GBP closing your Payment Account or being able to contact you, GBP may be obliged by law to treat the funds held on your Payment Account as abandoned property. If this occurs, we will try to locate you based on the most updated registration information you have provided. If we are unable to locate you, we may be required by law to transfer any funds held in Your Payment Account to the government as abandoned property.

3.5. Fraud

GBP has the right to refuse redemption of a Gift Card or any type of use or transaction associated with Your Payment Account if we suspect or verify that such redemption, use or transaction is associated with a fraud or any other illegal activity, at our sole discretion. We can also suspend or close Your Payment Account for the same reasons, subject to the specific provisions regarding this matter set forth on this Appendix.

3.6. Withdrawal

You may, at any time, request the transfer of the funds held in your Payment Account to a bank account or another payment account held by You with a financial institution or a payment institution in Brazil.

You must provide us with valid and accurate information and data to allow the transfer of funds. GBP is not responsible for non-authorization of transfers or transfers carried out to another person and/or account due to the provision of inaccurate or invalid information by You. In addition, once approved, the withdrawal cannot be cancelled, reversed or refunded.

Please note that, once the funds are transferred to the financial institution or payment institution indicated by You, GBP will not be responsible for any damage or loss derived from actions or omissions by such financial institution or payment institution, as applicable.

GBP charges no fees for withdrawals. You are solely responsible for any fees that may be charged by a third party for processing such transfers of funds, including, but not limited to fees charged by the financial institution or payment institution to which the funds were transferred.

NOTWITHSTANDING THE FOREGOING, WE RESERVE THE RIGHT, AT ANY TIME AND AT OUR SOLE DISCRETION, TO REFUSE OR SUSPEND ANY WITHDRAWAL IN CASE WE ARE NOT ABLE TO VERIFY AND VALIDATE YOUR INFORMATION AND/OR IN CASE WE SUSPECT THE PERFORMANCE OF ANY ILLEGAL ACTIVITY ASSOCIATED WITH YOUR PAYMENT ACCOUNT.

3.6. Withholding funds and debiting amounts in the Payment Account

YOU HEREBY ACKNOWLEDGE AND AGREE THAT GBP IS ENTITLED TO: (i) WITHHOLD ANY FUNDS HELD IN YOUR PAYMENT ACCOUNT IN ORDER TO SECURE ANY PAYMENTS OWED BY YOU TO GBP, GOOGLE, THE SELLERS OR ANY OTHER PARTY; AND (ii) SETOFF ANY AMOUNTS OWED BY YOU TO GBP, GOOGLE, THE SELLERS OR ANY OTHER PARTY, WITH ANY FUNDS HELD IN YOUR PAYMENT ACCOUNT.

4. Limitations regarding the use of Services

We may establish general practices and limits concerning use of the Services, including, without limitation, individual or aggregate amounts that can be redeemed or held at Your Payment Account and amount or number of Payments that can be carried out during any specified period of time. We reserve the right to change, suspend or discontinue any aspect or feature of the Services at any time, including hours of operation or availability of the Services.

5. Privacy

You understand and agree that personal information and data provided to us in connection with the Services is subject to our Payments Privacy Notice. Please feel free to check there a summary of our policies and procedures involving cybersecurity and privacy concerns.

6. Service Fees

As a general rule and except as otherwise provided for in these Additional Terms or additional documents associated with the Services, GBP does not charge fees to use the Service as a Buyer.

7. Disputes

GBP provides a variety of tools to assist Buyers with disputes that may arise with respect to Payments. For detailed information, please see our dispute procedure.

GBP may offer a feedback or other ranking system on the Service to assist You in evaluating opinions of other Buyers regarding the Service. You acknowledge that any such feedback or ranking system represents solely the opinion of other Buyers regarding the Service, and is not an opinion, representation, or warranty by GBP with respect to Buyers’ opinions regarding the Service.

You agree to release GBP, Google Payment Corporation, Google, and other GBP affiliates, and their agents, contractors, officers and employees, from all claims, demands and damages (actual and consequential) arising out of or in any way connected with a dispute. You agree that you will not involve GBP in any litigation or other dispute arising out of or related to any transaction, agreement, or arrangement with any Seller, other Buyer, advertiser or other third party in connection with the Service. If you attempt to do so, (i) you shall pay all costs and attorneys' fees of GBP, Google Payment Corporation, Google, and other GBP affiliates and shall provide indemnification as set forth below, and (ii) the jurisdiction for any such litigation or dispute shall be limited as set forth below.

8. Refunds

We reserve the right to issue refunds or credits at our sole discretion, if not determined by the applicable laws or regulations. If we issue a refund or credit, we are under no obligation to issue the same or similar refund in the future.

If you believe your Payment Account has been accessed or used in an unauthorized manner, please see our fraud protection process.

Except as set forth in this Appendix, in the Terms or determined by the applicable laws, all Payments processed through the Service are non-refundable to Buyer by GBP and are non-reversible by Buyer through the Service.

Unless otherwise required by applicable laws or at GBP’s discretion, the amount of refunds will be credited back to your Payment Account for future use under the same terms.

9. Suspension of Services

We may limit or suspend Your use, in whole or in part, of the Services at any time, at our sole and absolute discretion. If we suspend or limit Your use of the Services, we will attempt to notify You by electronic mail. Suspension or limitation of Your use of the Services will not affect Your rights and obligations pursuant to this Appendix arising before or after such suspension or limitation.

Please find below certain specific (not restricted) situations that may cause the suspension or limitation of the use of the Services, in whole or in part:

The situations described above are not prescriptive and do not limit GBP’s right to suspend or limit the use of the Services, in whole or in part, based on (i) applicable laws and regulations, (ii) any other provision contained in the Terms or this Appendix, or (iii) any Google policy applicable to You.

Depending on the reason that caused the suspension or limitation of the Services, we may request additional information, data and documents to resolve the issue.

If you have not timely answered our notices nor resolved the issue, we may not be able to authorize any offering of Services to You, including the processing of Payments, refunds and withdrawals of funds in the Payment account.

In case we suspend or limit Your use of the Services, you acknowledge and agree that you will not be entitled to any type of indemnity or compensation.

Any amounts seized as a result of illegal actions may be used by GBP to comply with court orders and/or to compensate any costs, expenses or damages directly caused to GBP or third parties by such actions.

In case the use of the Services, in whole or in part, is suspended or limited due to any situation described above, GBP may decide to terminate the Services, in accordance with the provisions of section 10 below.

10. Termination of Services

We may, at our sole discretion, without any costs, terminate Your Payment Account and Your use of the Services, for any reason, including, without limitation:

Upon termination of Your Payment Account and Your use of the Services, You remain liable for all Payments and any other obligations You may have incurred under the Terms and this Appendix. Upon termination, we have the right to prohibit Your access to the Services, including without limitation, by deactivating your username and password, and to refuse Your future access to the Services.

If we decide to close Your Payment and terminate Your use of the Services, we will attempt to notify you by electronic mail. You must provide us, within the timeframe we indicate in such notice, all information and documents we request, including, but not limited to, information that allows us to transfer any funds you may have with us, including your Payment Account balance, to another bank account or payment account held by You.

All provisions contained in this Appendix regarding withdrawal of funds from Your Payment Account that do not conflict with the provisions of this section will be applicable to the transfer of funds from Your Payment Account in case of closure of your Payment Account and termination of the Services.

YOU WILL BE SOLELY AND FULLY RESPONSIBLE FOR PROVIDING CORRECT, ACCURATE AND VALID INFORMATION, AT OUR DISCRETION, TO ALLOW THE TRANSFER OF FUNDS HELD ON YOUR PAYMENT ACCOUNT IN CASE OF CLOSURE OF YOUR PAYMENT ACCOUNT AND TERMINATION OF THE SERVICES FOR ANY REASON. IN NO EVENT, EXCEPT IF REQUIRED BY LAW OR REGULATION, WILL GBP PAY DIRECTLY TO YOU, IN CASH, OR TRANSFER TO ACCOUNTS HELD BY THIRD PARTIES, THE AMOUNTS AVAILABLE IN YOUR PAYMENT ACCOUNT.

In case we cannot notify You or if You do not provide us information regarding a correct, active and valid bank account or payment account owned by You within the timeframe we provide to You, we will treat the available balance according to the applicable laws and regulations. The lack of response from You will not prevent us from closing Your Payment Account and/or terminating Your use of the Services.

If Your account was closed and You did not provide us the information or documents we have requested to transfer Your remaining balance, please contact us by the channels provided on this Appendix or on the Terms to let us verify if you are still entitled to own these funds under the applicable laws and regulations. If yes, we will transfer the funds to You pursuant to the procedures set forth in this section.

You may terminate Your relationship with GBP at any time, with or without cause, for more information, visit our Help Center. If you decide to terminate your relationship with GBP and You have any balance in Your Payment Account, You should provide us information regarding an active and valid bank account or payment account held by You, in order to enable us to transfer the respective funds to You. GBP will not be able to transfer the funds to You until it receives the information mentioned above. You will remain liable for any Payment and obligation undertaken before the termination date.

11. Governing Law

This Appendix shall be governed by the laws of Brazil. Each party agrees to submit to personal and exclusive jurisdiction of the courts located in São Paulo, São Paulo State, Brazil. The parties specifically exclude from application to this Appendix the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act.
