Google Payments Additional Terms of Service

1. Introduction

To use Google Payments, you must accept (1) the Google Terms of Service and (2) these Google Payments Additional Terms of Service (the "Additional Terms").

Please read each of these documents carefully. Taken together, these documents are defined as "Terms". They set out what you can expect from us when you use our services, and what we expect from you.

In case you do not agree with these Terms, do not use Google Payment’s services, given that use of Google Payment’s services represents your full and unconditional acceptance of these Terms.

Please note that the Google Terms of Service applies to storing and using items such as loyalty cards, reward program cards, transit passes, boarding passes, and other non-payment items.

If these Additional Terms conflict with the Google Terms of Service, these Additional Terms shall govern for Google Payments.

While not a part of these Terms, we encourage you to read the Google Privacy Policy to better understand how you can update, manage, export and delete your personal data, as well as the Google Payments Privacy Notice to better understand how Google manages your information used in the Google Payments' features. Your use of Google Payment’s services also represents your full and unconditional acceptance of the Google Privacy Policy and Google Payments Privacy Notice.

Some features of Google Payments were previously called "Android Pay". While you may still see legacy Android Pay references in stores, apps, or websites, those features are subject to these Terms.

Some products and features may not be available in all countries. See the Google Pay Help Center for more information.

Capitalized words defined in the attachment, and elsewhere throughout these Terms.

2. Basic Requirements

To use Google Payments, you agree to comply with the requirements below:

You will also need a Google Account; a device that meets the Service's system and compatibility requirements, which may change from time to time; access to an Internet connection; and compatible software.

YOUR ABILITY TO USE GOOGLE PAYMENTS AND THE PERFORMANCE OF GOOGLE PAYMENTS MAY BE AFFECTED BY THE FACTORS LISTED ABOVE. SUCH REQUIREMENTS ARE YOUR RESPONSIBILITY.

3. Overview of Google Payments

Google Payments lets you save payment methods in your Google Account and manage them online or in Google Wallet. Google Payments also provides you payment initiation services for the execution of payment transactions with Google and third parties on Google surfaces, such as Google Wallet, Google Chrome and Android, as well as on third-party merchant websites.

Google Payments also allows users who have a Gift Card issued by Google Brasil Pagamentos Ltda. ("GBP") and have Play Balance, to maintain a prepaid payment account and execute payment transactions with the amount redeemed from such Gift Cards. The use of these services will also be subject to the terms of use set forth in the Attachment “Gift Card/Play Balance Attachment – Brazil” below.

The information related to your payment transactions will be displayed in your Google Payments Profile, available at pay.google.com, and in the Wallet app.

4. Using Payment Methods with Google Payments

a) Payment methods

With Google Payments, you can save and manage information related to payment methods in your Google Account. You may save and manage information related to a variety of payment methods ("Payment Methods", collectively), including:

THE AVAILABILITY OF A PARTICULAR PAYMENT METHOD OR ITS COMPATIBILITY WITH GOOGLE PAYMENTS MAY DEPEND ON YOUR COUNTRY OF RESIDENCE AND OTHER FACTORS. SUPPORTED PAYMENT METHODS, AS WELL AS THE GOOGLE PAYMENTS FEATURES DESCRIBED BELOW, MAY NOT BE AVAILABLE EVERYWHERE AND MAY CHANGE AT ANY TIME.

b) Storage of a Payment Method

You can save a Payment Method to your Google Account through different interfaces, including the Google Wallet app or website, the Google Chrome browser, the Payment Method issuer's app or website, as applicable, or through a product or Google service such as the Google Play Store. To save a Payment Method, you must complete all required information on all registration forms presented to you. The information provided must be current, complete and accurate, and you must keep it as such. We may ask you to provide additional information as a condition of your continued use of Google Payments or to help us determine whether you can continue to use Google Payments.

When you save a Payment Method, Google may store information related to the Payment Method, such as your name and billing address. Google Payments also lets you save other information to your Google Account that can help speed up transactions, such as a shipping address.

You authorize us to confirm with the respective issuer of your Payment Method or, in case of using Pix as a Payment Method, to confirm with the Pix Participant (see “Attachment Pix Transactions - Brazil” below) holding the Transactional Account, as applicable, that everything is ok with your Payment Methods stored in your Google Account, including that its information is accurate, and to submit payment authorization requests and/or a low-value credit and/or debit related to your Payment Method, in accordance with the rules imposed by the settlor of the payment scheme or other requirements applicable to the Payment Method, for purposes of the execution of your payment transaction.

You agree that Google Payments is for your personal use and that the information stored in your Google Account refers to your own Payment Methods. If you use a corporate card in Google Payments, you agree to do so with your employer's authorization and the ability to bind you to these Terms.

Information related to a Payment Method may be removed from Google Payments on a particular device and become unusable with the service if: (i) you delete the Payment Method from Google Payments; (ii) you delete the information related to a Payment Method from your Google Account; (iii) you erase your mobile device using Android Device Manager; (iv) you delete your Google Account; (v) your mobile device is unable to connect to any Google product or service for 90 consecutive days; (vi) you do not use Google Wallet on the device for 12 consecutive months; and/or (vii) the issuer of your Payment Method, the Pix Participant holding your Transactional Account or settlor of your Payment Method's payment scheme instructs Google to remove the information related to a Payment Method from Google Payments.

c) Role of Google

Except where Google or one of its affiliates acts as an issuer, neither Google nor its affiliates are a party to your Payment Methods’ issuer agreements and/or Transactional Account services agreements, nor subject to privacy policies or other terms of use of the issuer of your Payment Method and/or Pix Participant holding your Transactional Account. These Terms do not modify in any way the issuer or Pix Participant terms. In the event of any inconsistency between these Terms and your issuer's terms or privacy policies, these Terms will govern the relationship between you and Google with respect to Google Payments, and your issuer's terms will govern the relationship between you and the issuer.

Except where Google or one of its affiliates is the issuer, neither Google nor its affiliates are involved in granting credit or determining eligibility for credit, nor do they exercise control over: the availability or correct functioning of the Payment Methods or resources; making (or adding) Payment Methods to Google Payments or adding features to Payment Methods balances, as applicable. If you have any concerns or questions related to the above, please contact the issuer of your Payment Method.

d) Storing a Virtual Card Number orThird Party Accounts

The following terms apply to the use of Google Payments to store a Virtual Card Number or Third Party Account in your Google Account.

When you initiate the addition of a Payment Method to Google Payments and provide the information requested by Google and/or your Payment Method's issuer, Google Payments will verify if such Payment Method is eligible for use with Google Payments. Not all Payment Methods from an issuer may be eligible. If your Payment Method's issuer is enabled by Google Payments and your Payment Method is eligible, when you add it, you may see a screen asking you to accept the issuer's terms and conditions. Once you have done this and successfully added the Payment Method, Google Payments will either store a Virtual Card Number that will represent the actual payment card number or associate your Third Party Account with your Google Account, for use as described in Section 5 below.

Virtual Card Numbers registered with Google Payments are different from the associated Payment Cards that you save in your Google Account. Unlike the Virtual Card Number, generally a Payment Card will not be presented to you in a similar design (layout) to the physical (plastic) card and cannot be used for Near Field Communication ("NFC") transactions in stores. However, when you register a Virtual Card Number, Google Payments may also save the associated Payment Card to your Google Account.

You acknowledge that Google Payments may receive transaction information from the issuer of your Payment Method to display such transaction information in a more detailed format to your recent Google Payments transaction history.

e) Using Pix as a Payment Method

When you use Pix as a Payment Method, you are using the services provided by Google Pay Brasil Instituição de Pagamento Ltda. (“GPBRIP”) that offers Google Payments End Users Payment Initiation Services. The use of such services will also be subject to the terms of use set forth in the attachment “Attachment Pix Transactions – Brazil” below, which sets forth different rights and responsibilities for GPBRIP and End Users.

5. Transaction using Payment Methods with Google Payments

a) In Google environments

Google Payments may allow you to initiate a payment with a "Seller", defined as (i) a Google group company or (ii) any other seller that participates in one or more of Google's marketplaces (listed here) that offers goods or services for sale to you, and ask Google or its affiliates to process payments on your behalf.

You acknowledge and agree that your payment transaction with a Seller (a "Google Transaction") is solely between you and the Seller. Google and its affiliates are not a party to your Google Transactions and related purchases, nor are they buyers or sellers in connection with any Google Transactions unless expressly designated as such (for example, in the listing or description of the relevant merchandise, good or service on a website or interface operated by Google).

When you request the initiation of a Google Transaction, Google may present the Payment Methods available at the time of the transaction. Once you select the desired Payment Method, Google may charge that Payment Method or may share the Payment Method and details related to such order with a third party contracted by Google, duly authorized to execute the payment transaction, which will process the transaction on behalf of the Seller or, in case you are using Pix as a Payment Method, GPBRIP may share it with the Pix Participant holding your Transactional Account, which will execute the Pix transaction. You acknowledge and agree that you may be charged via your Payment Method to complete the processing of a Google Transaction. You also acknowledge and agree that you may be credited to your Payment Method in connection with chargebacks, refunds or adjustments related to a Google Transaction.

For details or terms relating to a specific Google Transaction, including refund or dispute resolution policies, please refer to any terms of service, help center, and/or other support materials provided by the Seller involved in the Google Transaction.

If there is an issue with billing through your selected Payment Method, Google may charge you through any other valid Payment Method you have stored in Google Payments. Visit the Google Payments website, the Google Wallet app or the Google settings on your Android device to manage your payment options. You also agree that a Seller may resubmit one or more times a Google Transaction relating to a purchase to the payer of the payment arrangement or issuer of your Payment Method for processing in the event that a previous Google Transaction was declined or returned by the payer of the payment arrangement or issuer. Google may delay or reject processing and/or sharing information related Payment Methods for transactions that are suspicious or that may involve fraud, misconduct, or violate applicable law, the Terms or other applicable Google policies, as determined in Google's sole and exclusive discretion.

If a Seller offers you the ability to pay for subscriptions, your subscription will begin when you click "accept and buy" (or an equivalent phrase) on a subscription purchase. This is a recurring charge. Unless otherwise noted, your subscription and billing authorization will continue indefinitely until canceled by you. By clicking "accept and buy" (or equivalent phrase), you authorize Seller to charge you via the Payment Method you choose for each designated billing period for the subscription. The value of the Google Transaction is subject to change by Seller during the subscription period. Canceling a subscription will not take effect until the end of the billing period during which cancellation was requested. You will not receive a refund for the current billing period, but you will still be able to access the subscription for the remainder of that billing period. If these terms and Seller's subscription terms conflict, Seller's subscription terms will prevail over the subscription in question.

b) With third parties

When you initiate a payment transaction or use public transit using Google Payments with someone other than a Seller (this party is a "Third Party" and this transaction is a "Third Party Transaction"), Google may pass your Payment Method details and related information to the Third Party so that the Third Party can arrange for a charge to your Payment Method or, in case you are using Pix as a Payment Method, GPBRIP may share the information related to such Payment Method with the Pix Participant holding your Transactional account, which will execute the Pix transaction. Depending on the nature of the Third Party, the Third Party Transaction may involve the purchase of goods or services, use of public transportation or other purposes such as donations or gifts. A Third Party Transaction may be initiated when you: pay by approach in stores or on public transportation using Near Field Communication (NFC), QR Codes, barcodes or other contactless payment technology; selects "Google Pay" or "Buy with Google Pay" as a payment option in an online transaction on a Third Party website or application; or transact with Third Parties through another online interface, such as the Google Assistant. When you initiate an online transaction, Google may delay or reject processing and/or sharing information related to your Payment Methods for transactions that are suspicious or that may involve fraud, misconduct, or violate applicable law, the Terms or other applicable Google policies, as determined in Google's sole and exclusive discretion.

In a Third Party Transaction, once Google has passed the Payment Method and other details to the Third Party or, in case you are using Pix as a Payment Method, once GPBRIP has shared the information related to such Payment Method with the Pix Participant holding your Transactional Account, which will execute the Pix transaction, Google and/or GPBRIP, as applicable, will have no further involvement in the transaction, and you acknowledge and agree that such transaction is solely between you and the Third Party and not with Google or any of its affiliates. You must contact the Third Party, the Payment Method provider (e.g., your Payment Card issuer) or the Pix Participant holding your Transactional Account responsible for executing the Pix transaction directly with any issues involving Third Party Transactions, including refunds and disputes.

When you visit a participating Third Party's website or application, Google may disclose to the Third Party whether or not Google Payments is configured on your device so that the Third Party knows whether it can offer Google Payments as a payment option. You acknowledge and agree that you may be subject to the provisions established in the terms of use or terms of service, as well as in the privacy policies and documents disclosed in such Third Party’s website application. You may opt out of allowing Google to make such disclosure by going to your Google Payments privacy settings. SUCH OPTING OUT MAY AFFECT YOUR ABILITY TO USE GOOGLE PAYMENTS WITH CERTAIN MERCHANTS.

c) As part of privacy settings. Chrome or Android AutoComplete

If you have enabled the "Autofill" feature in your Google Chrome browser or on your Android device, Google Payments may also offer you the option to autofill, either on a Third Party website's payment page displayed in your Chrome browser or on the payment in a Third Party Application on an Android device, the Payment Method and address information saved in Google Payments (for more information on how Autofill works with Google Payments, see Chrome's Help Center). When you use this feature, Google is not interacting with the Third Party website or application and is only completing your request to automatically fill in certain information selected on the Third Party page. Google does not participate in any transaction that you complete using Chrome or Android AutoComplete, and you acknowledge and agree that such transaction is solely between you and the Third Party and not with Google or its affiliates. Please contact the Third Party or your Payment Method's issuer directly with any issues involving a transaction in which you used Chrome or Android Autofill.

6. Privacy

The Google Privacy Policy describes how we treat personal information when you use Google's products and services. Google Payments is offered to Google Account holders, and your use of it is subject to the Google Privacy Policy. In addition, the Google Payments Privacy Notice describes Google privacy practices that are specific to Google Payments.

In addition to the information collection and uses described in the Google Payments Privacy Notice, Google may use information such as your transaction, app activity, and profile information to personalize your Google Payments experience.

Attachment Pix Transactions – Brazil

Sao Paulo, Brazil, April 18, 2024

This document is an attachment to the Additional Terms (“Attachment”). The provisions below apply only to End Users who use the Payment Initiation Service provided by Google Pay Brasil Instituição de Pagamentos Ltda. (“GPBRIP”), acting as a payment initiation service provider, authorized by the Central Bank of Brazil, that allows them to use Pix as a Payment Method.

Please read this Attachment carefully before deciding whether to accept the Additional Terms. In case you do not agree with this Attachment, do not access and/or use the Payment Initiation Service provided by GPBRIP, given that the access to and/or use of such Payment Initiation Service represents your full and unconditional acceptance of the provisions of this Attachment.

In the event of a conflict between the provisions set forth in this Attachment and the provisions set forth in the Additional Terms, the provisions of this Attachment shall prevail.

GPBRIP may change this Attachment at any time in order to improve the provision of Payment Initiation Services and/or to reflect regulatory changes. If the changes are material, GPBRIP will notify End Users by sending a notice to the e-mail address provided at the time of registration. If End Users continue to use the Payment Initiation Services after the notice, GPRBIP will understand that End Users have accepted the new changes to this Attachment.

1. Definitions

The terms defined below are provided throughout this Attachment. Capitalized terms that are not defined herein shall have the same meaning as stipulated elsewhere in the Additional Terms.

“End User”: individual or legal person (of private or public nature) that uses Pix as a payer or as a payee;

“Instant Payment”: electronic transfer of funds, in which the transmission of the payment order and the availability of funds to the payee is in real time and for which service is available 24 (twenty-four) hours a day and every day of the year;

“Open Finance”: standardized sharing of data and services through the opening and integration of systems, enabled by Open Finance APIs and powered by the Central Bank of Brazil;

“Open Finance APIs”: dedicated interface for sharing data and services within the scope of Open Finance among participating entities;

“Payee”: individual or legal person (of private or public nature) that uses Pix as a payee;

“Payment Initiation Service”: service that allows the initiation of the instruction of a payment transaction, requested by an End User, related to a transaction account, instructed by an institution that does not hold or manage the transactional transaction account, using the Open Finance APIs;

“Payment Initiation Service Provider” or “PISP”: Payment institution that provides Payment Initiation Services, without managing the Transactional Accounts related to the payment transaction or holding the funds involved in the payment transaction, authorized by the Central Bank of Brazil pursuant to BCB Resolution 80, dated March 25, 2021, and that participates in the Open Finance providing Payment Initiation Services;

“Pix”: payment scheme implemented by the Central Bank of Brazil that regulates the provision of payment services related to Instant Payment Transactions and the Instant Payment Transactions themselves within the scope of the scheme;

“Pix Key”: information related to the holder of a Transactional Account that allows obtaining the information about the payee and the corresponding transactional account, in order to facilitate the process of initiating payment transactions by payers and to mitigate the risk of fraud in Pix transactions;

“Pix Participant”: financial institution, payment institution or government entity that adheres to the Pix Regulation and meets the other requirements for joining the scheme, and that participates in the Open Finance accepting Payment Initiation Services;

“Transactional Account”: account maintained by an End User, at a Pix Participant, used for payment purposes or for receiving funds, which may be a current deposit account, a savings deposit account or a prepaid payments account;

2. Requirements

To use GPBRIP Payment Initiation Services and use Pix as a Payment Method with Google Payments, you must be at least 18 years old, have a Transactional Account, and comply with the requirements provided in the Terms.

3. Payment Initiation Services

When using Pix as a Payment Method, you may be requested to provide to GPBRIP information necessary to initiate the Pix transaction, including related to the Payee (e.g. Pix Key), and grant consent for GPBRIP to share such information with Pix Participants for the provision of the Payment Initiation Service. You agree and acknowledge that, based on the information that you have provided, GPBRIP will initiate the transaction and share with the Pix Participants holding the Transactional Accounts the required information for executing the Pix transaction or any payment service provider, as applicable.

You may revoke the consent you have granted prior to the conclusion of the payment transaction you have requested using the Payment Initiation Services.

You may store information regarding Pix Key and certain information related to a Payee in your Google Account for purposes of requesting future Pix transactions.

You are responsible for the amount involved in the payment transaction and you must ensure that there are sufficient funds in your Transactional Account prior to using GPBRIP Payment Initiation Service for using Pix as a Payment Method. Your payment transaction may not be settled by the Pix Participant holding your Transactional Account in case you do not have funds in your Transactional Account or does not have sufficient or approved line of credit to cover the full amount involved in the transaction.

GPBRIP can only initiate the Pix transaction upon the provision of all necessary information and you are responsible for providing all necessary and accurate information requested by GPBRIP necessary for the provision of Payment Initiation Services.

In order to conclude a payment transaction using the Payment Initiation Service, you may be redirected to your Transactional Account user’s interface and be subject to identification, authentication, and confirmation proceedings as defined by the Pix Participant holding the Transactional Account.

4. Transactions using Pix as a Payment Method with Google Payments

Google Payments allows you to use Pix as a Payment Method to make P2P (person to person) transactions, as well as P2M (person to merchant) transactions. You may use Pix to make P2M transactions when you initiate Google Transactions and Third Party Transactions, and you may use Pix to make P2P transactions when you initiate Third Party Transactions, pursuant to the Additional Terms.

The information related to your payment transactions using Pix will be displayed in your Google Payments Profile, available at pay.google.com, and in the Wallet app.

5. Limitations

The use of Pix as a Payment Method may be limited to the rules of the Pix Participant who holds your Transaction Account, and such transactions may only be carried out between persons who hold Transaction Accounts on Pix Participants.

The Payment Initiation Services provided by GPBRIP may be limited to the existence of sufficient funds in your Transactional Account. GPBRIP IS NOT RESPONSIBLE FOR VERIFYING THE EXISTENCE OF SUFFICIENT FUNDS IN THE TRANSACTIONAL ACCOUNT OF THOSE INVOLVED IN THE PAYMENT TRANSACTION.

6. Fees

As a general rule and unless otherwise stated in these Additional Terms or in additional documents associated with the Payment Initiation Services, GPBRIP does not charge fees for using the Payment Initiation Service. You acknowledge that you may be charged by the Pix Participant holding your Transactional Account pursuant to your service agreement with such Pix Participant, for example by a negative balance held in your transactional account, as well as any fees for the Pix transaction, as applicable.

7. Fraud

GPBRIP has the right to refuse the provision of Payment Initiation Service for using Pix as a Payment, or delay it, if we suspect or verify that the use or transaction is in connection with fraud or any other illegal activity, at our sole discretion. You also acknowledge that the Pix Participant holding your Transactional Account has the right to refuse executing a Pix transaction if it suspects or verifies that the use or transaction is in connection with fraud or any other illegal activity, at its sole discretion.

IN ACCORDANCE WITH APPLICABLE REGULATION, GPBRIP MAY SHARE WITH OTHER INSTITUTIONS AUTHORIZED TO OPERATE BY THE CENTRAL BANK OF BRAZIL, INCLUDING THIRD PARTIES CONTRACTED BY SUCH INSTITUTIONS, INFORMATION REGARDING ANY OR ALL OF THE FOLLOWING: (I) THE INDICATION OF OCCURRENCES OF FRAUD OR FRAUD ATTEMPTS REGISTERED BY GPBRIP, INCLUDING THE IDENTIFICATION OF THE PERSONS THAT COULD HAVE COMMITTED OR ATTEMPTED TO COMMIT A FRAUD; (II) THE DESCRIPTION OF THE INDICATION OF THE OCCURRENCES OF FRAUD OR FRAUD ATTEMPTS; (III) THE IDENTIFICATION OF THE INSTITUTIONS RESPONSIBLE FOR THE REGISTRATION OF THE DATA INVOLVED IN THE FRAUD OCCURRENCES OR FRAUD ATTEMPTS; AND/OR (IV) IDENTIFICATION OF THE ACCOUNTS AND THE ACCOUNT HOLDERS INVOLVED IN THE FRAUD OCCURRENCES OR FRAUD ATTEMPTS.

8. Disclaimers

YOU MUST PROVIDE US WITH VALID AND CORRECT INFORMATION AND DATA TO ENABLE US TO INITIATE A PAYMENT TRANSACTION. GPBRIP IS NOT RESPONSIBLE FOR THE REJECTION OF A PIX TRANSACTION MADE BY THE TRANSACTIONAL ACCOUNT PIX PARTICIPANT DUE TO THE PROVISION OF INCORRECT OR INVALID INFORMATION BY YOU. IN ADDITION, ONCE APPROVED, THE REMITTANCE OF FUNDS WITH THE PIX TRANSACTION CANNOT BE CANCELED, REVERSED OR REFUNDED BY GPBRIP.

GPBRIP DOES NOT RECEIVE, TRANSFER OR STORE ANY FUNDS RELATED TO THE PAYMENT INITIATION SERVICE, NOR ARE WE RESPONSIBLE FOR SETTLEMENT OF THE PIX TRANSACTIONS, AND WILL NOT BE RESPONSIBLE FOR ANY LOST PROFITS OR CONSEQUENTIAL, SPECIAL, PUNITIVE, INDIRECT OR INCIDENTAL OR CONSEQUENTIAL DAMAGES REGARDING THE SETTLEMENT OF PAYMENT TRANSACTIONS.

The information provided by GPBRIP for the Payment Initiation Service, including those linked to Pix Keys may be used for security purposes and may be considered for the purpose of authorizing or rejecting a transaction.

GPBRIP MAY BE SUBJECT TO OPERATIONAL FAILURES THAT MAY AFFECT THE PROVISION OF THE PAYMENT INITIATION SERVICES, THAT COULD MAKE IT IMPOSSIBLE TO SETTLE THE AMOUNTS INVOLVED IN THE TRANSACTION. YOU ACKNOWLEDGE THAT GPBRIP IS NOT PART OF THE SETTLEMENT PROCESS AND, THEREFORE, IS NOT RESPONSIBLE FOR ANY INTERRUPTIONS TO THE SYSTEMS OF PIX PARTICIPANTS INVOLVED IN THE SETTLEMENT OF THE PIX TRANSACTION, AS WELL AS THEIR ACTS OR OMISSIONS OR ANY OTHER SERVICE PROVIDER IN THE REGARDING PAYMENT, SETTLEMENTS AND RELEASE OF FUNDS.

WE RESERVE THE RIGHT, AT ANY TIME AND IN OUR SOLE DISCRETION, TO REFUSE OR SUSPEND THE PROVISION OF THE PAYMENT INITIATION SERVICES IF WE ARE UNABLE TO VERIFY AND VALIDATE YOUR INFORMATION AND/OR IF ANY SUSPECTED FRAUD OR ILLEGAL ACTIVITY ASSOCIATED WITH YOUR TRANSACTIONAL ACCOUNT IS SUSPECTED.

Attachment Google Transactions with International Sellers – Brazil

This document is an attachment to the Additional Terms ("eFX Attachment"). The provisions below apply only to Google Transactions carried out between users and international Sellers.

Please read this eFX Attachment carefully before deciding whether to accept the Additional Terms In case you do not agree with this eFX Attachment, do not access and/or engage with Google Transactions carried out between users and international Sellers, given that the access to and/or use of such Google Transactions represents your full and unconditional acceptance of the provisions of this eFX Attachment.

In the event of a conflict between the provisions set forth in this eFX Attachment and the provisions set forth in the Additional Terms, the provisions of this eFX Attachment shall prevail.

Google Brasil Pagamentos Ltda. ("GBP") and third parties engaged by GBP may carry out foreign exchange transactions to remit amounts paid by You when purchasing Products offered by Sellers located abroad, in accordance with applicable Brazilian foreign exchange laws and regulations, for the purpose of transferring such resources to the respective Sellers.

BY ACCEPTING THESE TERMS, YOU GRANT SPECIFIC POWERS TO GBP TO REPRESENT YOU BEFORE FINANCIAL INSTITUTIONS AND AGENTS AUTHORIZED TO OPERATE IN THE BRAZILIAN EXCHANGE MARKET, IN ACCORDANCE WITH ARTICLES 653 AND FOLLOWING OF THE CIVIL CODE, WITH POWERS TO PROVIDE INFORMATION AND ENTER INTO FOREIGN EXCHANGE CONTRACTS ON YOUR BEHALF, IN COMPLIANCE WITH APPLICABLE EXCHANGE LAWS AND REGULATIONS, TO REMIT FUNDS ABROAD ASSOCIATED WITH THE PURCHASE OF PRODUCTS SOLD BY SELLERS LOCATED ABROAD. GBP MAY, IN ITS SOLE DISCRETION, DELEGATE (substabelecer) TO THIRD PARTIES THE POWERS GRANTED BY YOU HEREIN, IN WHOLE OR IN PART. THIS POWER OF ATTORNEY WILL REMAIN IN FORCE DURING THE DURATION OF THE SERVICES, PROVIDED THAT YOU EXPRESSLY RATIFY ALL ACTS PERFORMED BY GBP RELATED TO THE PURPOSE OF THIS EFX ATTACHMENT SINCE THE BEGINNING OF ITS RELATIONSHIP WITH GBP, AS APPLICABLE.

1. Definitions

The terms defined below are provided throughout this eFX Attachment. Capitalized terms that are not defined herein shall have the same meaning as stipulated elsewhere in the Additional Terms.

"You","you", "Your", "your" or "Buyer": a user who registers, completes registration or uses the eFX Service.

"Seller": (i) a Google group company, or (ii) any other seller who is part of one or more Google sites offering Products for sale to You and who requests Google, GBP or Google's affiliates to process Payments onYour name.

"Product": any merchandise, product or service that is listed for sale and payable by a Buyer using the eFX Service.

"eFX Service": the payment or international transfer service provided by GBP, as described in this eFX Attachment, that, through a foreign exchange transaction or through movement in a non-resident account in reais carried out in the manner provided for in the regulation, enables the acquisition of Products, subject to specific transaction limits imposed by the applicable laws, regulations and internal controls adopted by GBR, which occurs through a digital payment solution offered by GBP or a third-party and integrated into the electronic commerce platform.

"Google Sites": the website pages offered to You by Google, GBP or Google's partner or affiliated company, including Google Play and YouTube.

"GBP", "we" or "our": Google Brasil Pagamentos Ltda.

2. Nature and conditions of provision of eFX Services by GBP

Sellers located abroad, when selling Products in Brazil, hire GBP or a third party contracted by GBP to facilitate receipts or payments in Brazil in a simple and agile manner, without You having to directly engage an authorized financial institution operating in the foreign exchange market.

In this sense, GBP may, directly or through third-parties engaged by GBP, provide eFX Services to remit abroad amounts paid by You when purchasing Products offered by Sellers located abroad, in accordance with the applicable foreign exchange laws and regulations.

Therefore, every time You purchase a Product from a Seller located abroad, that has hired GBP or a third party contracted by GBP to facilitate the payments in Brazil, GBP will provide You with the eFX Services, under which GPB will receive from You the amounts resulting from the acquisition of the Product and will carry out a foreign exchange transaction so that the Seller located abroad receives such funds.

The amounts collected in Brazil will be subject to a foreign exchange transaction at a conversion rate from Reais to the foreign currency as agreed between GBP or a third party contracted by GBP and the institution authorized to operate in the foreign exchange market contracted to carry out the foreign exchange transaction in question. This foreign exchange transaction has no additional cost to You.

Similarly, in cases where You receive amounts in Brazil (such as, for example, refunds, chargebacks and cancellations authorized by the Terms, this eFX Attachment or any Google policy), the conversion of the foreign currency to Reais will also be subject to the agreed conversion rate.

If a withholding tax on the exchange rate (such as IOF) is required by law, GBP will inform You.

If GBP suspects that You are involved in restricted, illegal or abusive activities, where there is a risk associated with any of the transactions carried out through the eFX Services provided by GBP or by the third-party engaged by GBP, GBP or the third-party may terminate, suspend or limit Your access to the eFX Services and adopt the measures it deems necessary.

3. GBP’s responsibilities in the eFX Services

Within the scope of the eFX Services, You state and acknowledge that the responsibilities of GBP or a third party engaged by GBP are limited to:

As an eFX Service provider, GBP or a third party contracted by GBP are not to be confused with a Seller located abroad.

GBP or a third party contracted by GBP is only responsible for processing the receipt or payment of purchases/sales made by Buyers and for contracting the foreign exchange transaction so that the funds are delivered to Sellers located abroad.

The liability of GBP or a third party contracted by GBP is limited to the provision of the eFX Services and is limited to the amount of payment it has received from You to enable the payment to the Seller located abroad.

4. Your rights and obligations in the eFX Services provided by GBP

The eFX Services are also subject to rules set by the issuers responsible for Your chosen Payment Method.

If Your CPF or CNPJ is not registered with the Federal Revenue Service, the payment may not be made to the Seller located abroad due to the applicable regulations.

GBP, or the third party contracted by GBP, must ensure that You have access to a statement or invoice of the foreign exchange transactions, containing, at least, a breakdown of the transaction, including its date, the parties involved, the amount in national currency, any fee charged by the transaction, the value in foreign currency, the identification of the foreign currency, in addition to the subtotals relating to payments and transfers made.

5. Payment methods

The Payment Methods accepted within the scope of the eFX Services provided by GBP are determined by the regulations in force and may cover:

Deposit or payment accounts used within the scope of the eFX Services must be held by You and maintained in financial institutions and other institutions authorized to operate by the Central Bank of Brazil or in payment institutions that, by virtue of their adhesion to Pix, are part of the Brazilian Payment System. Payment slips must be issued with You as payor and GBP as beneficiary.

If the Payment Method is from a third party or does not comply with the minimum requirements described above, the payment made by the aforementioned Payment Methods may not be made to the Seller located abroad due to the applicable regulations.

The availability of a particular Payment Method or its compatibility with the eFX Services may depend on Your country of residence and other factors.

6. Limitations on eFX Services

The eFX Services provided by GBP or by third parties contracted by GBP are limited to enabling the acquisition of Products, in Brazil or abroad, which occurs through a digital payment solution offered by GBP or by third parties contracted by GBP and integrated into the commerce platform electronic, limited to US$10,000.00 (ten thousand United States dollars) or its equivalent in other currencies.

BY ACCEPTING THESE TERMS, YOU STATE THAT YOU ARE AWARE THAT THE EFX SERVICES PROVIDED BY GBP OR BY THIRD PARTIES ENGAGED BY GBP ARE SUBJECT TO LIMITATIONS OF VALUES AND TRANSACTION MODALITIES, SO THAT GBP OR THIRD PARTIES CONTRACTED BY GBP MAY ESTABLISH LIMITS FOR TRANSACTIONS ENTERED INTO BY YOU THROUGH THE EFX SERVICES.

7. Privacy

For the provision of eFX Services, GBP will need to share some of Your data with institutions authorized to operate in the foreign exchange market, as well as with other third-party companies, in order to facilitate receipts and payments in Brazil.

GBP will share with the authorities and third-parties, as applicable, data required by applicable regulations, including data necessary to mitigate the risks of fraud, money laundering and terrorism financing.

You understand and agree that information and personal data provided to us in connection with the provision of eFX Services is subject to our Payments Privacy Notice. Visit the link to view a summary of our policies and procedures involving cybersecurity and privacy issues.

8. Service Fees

As a general rule and unless otherwise provided in these Additional Terms or in additional documents associated with the eFX Services, GBP does not charge fees for the use of eFX Services as a Buyer.

9. Disputes

GBP provides a variety of tools to help Buyers resolve any disputes that may arise in relation to Payments. For detailed information, see our dispute procedure.

GBP may provide a feedback or other rating system on the eFX Service to help you assess other Buyers' opinions of the eFX Service.

You acknowledge that any feedback or rating system represents other Buyers' views on the eFX Service only and is not an opinion, statement or guarantee by GBP with respect to Buyers' views on the eFX Service.

You agree to release GBP, Google Payment Corporation, Google and other GBP affiliates, and their agents, contractors, officers and employees, harmless from any claims, demands, losses and damages (whether direct or indirect) arising out of or in any way relating to a dispute. You agree that You will not involve GBP in any litigation or other dispute arising out of or relating to any transaction, contract or agreement with any Seller, other Buyer, advertiser or third party relating to the eFX Service.

If You fail to comply with the foregoing, You will (i) pay all costs and attorneys' fees of GBP, Google Payment Corporation, Google and other affiliates of GBP and indemnify them as set out below, and (ii) the venue and law applicable to any litigation or dispute will be limited as set forth below.

10. Refunds

GBP reserves the right to make refunds, at its discretion, if there is no obligation to do so under applicable law or regulation. If we make a refund, we are under no obligation to make the same or similar refund in the future.

Requests for exercise of the right of regret or cancellation of purchases or sales, price reductions, claims for loss or non-receipt of Products, as well as Products with defects must be directed to the Seller or, if applicable, to the Google Sites, where the purchase or sale of the Products took place.

If the Seller located abroad notifies GBP that any refund is due to You, GBP will make the refund upon Seller's request.

In the case of a refund request, the amounts referring to taxes on financial operations (IOF) will be withheld for each transaction, at the time of purchase, and therefore will not be returned to You, pursuant to the applicable legislation in force.

Unless required by applicable laws or regulations or at the discretion of GBP, the amount of refunds will be credited to the deposit or prepaid payment account held by You at financial institutions or other institutions authorized to operate by the Central Bank of Brazil or at payment institutions that, by virtue of their membership of Pix, are part of the Brazilian Payment System.

11. Suspension of Services

We may limit or suspend Your use, in whole or in part, of the eFX Services at any time in our sole and exclusive discretion. If we suspend or limit Your use of the eFX Services, we will attempt to notify You via email. Suspension or limitation of Your use of the eFX Services will not affect Your rights and obligations under this FX Attachment existing before or after such suspension or limitation.

We list below some specific situations (not all-inclusive) that may cause the suspension or limitation of the use of the eFX Services, in whole or in part:

The situations described above are not all-inclusive and do not limit GBP's right to suspend or limit the use of the eFX Services, in whole or in part, based on (i) applicable laws and regulations, (ii) any other provision herein in the Terms or this eFX Attachment or (iii) any Google policy applicable to You.

Depending on the reason that caused eFX Services to be suspended or limited, we may ask You for additional information, data and documents to resolve the issue.

In the event that we suspend or limit Your use of the eFX Services, You acknowledge and agree that You will not be entitled to any damages or compensation of any kind.

Any amounts withheld as a result of illegal actions may be used by GBP or by the third-party engaged by GBP to comply with court orders and/or to offset any costs, expenses or damages caused directly to GBP, the third-party engaged by GBP or third parties by these actions.

Should the use of the eFX Services, in whole or in part, be suspended or limited due to any situation described above, GBP or the third-party engaged by GBP may decide to terminate the Services in accordance with the provisions of section 12 below.

12. Termination of Services

We may, at our sole and exclusive discretion, without charge, terminate provision of the eFX Services for any reason.

13. Applicable Law and Venue

This eFX Attachment will be governed by the laws of Brazil. Each party agrees to submit exclusively to the jurisdiction of the courts located in the city of São Paulo, State of São Paulo, Brazil. The parties specifically exclude the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act from the application of this eFX Attachment.

Gift Card/Play Balance Attachment - Brazil

This document is an attachment to the Additional Terms ("Attachment"). The provisions below apply only to users who purchase and/or redeem a Gift Card issued by Google Brasil Pagamentos Ltda. ("GBP") or otherwise use Play Balance and, as a result, maintain a prepaid GBP payment account.

Please read this Attachment carefully before deciding whether to accept the Additional Terms. In case You do not agree with this Attachment, do not purchase and/or redeem a Gift Card issued by GBP or otherwise use Play Balance, given that the purchase and/or redemption of a Gift Card issued by GBP and/or the use of Play Balance represents Your full and unconditional acceptance of the provisions of this Attachment.

In the event of a conflict between the provisions set forth in this Attachment and the provisions set forth in the Additional Terms, the provisions of this Attachment shall prevail.

The terms defined below are provided throughout this Attachment. Capitalized terms that are not defined herein shall have the same meaning as stipulated in the Additional Terms.

"You","you", "Your", "your" or "Buyer": a user who signs up, completes registration or uses the Service to make Payments.

"Seller": (i) a Google group company, or (ii) any other seller that integrates one or more Google websites offering Products for sale to You and that requests Google, GBP or Google's affiliates to process Payments in Your name.

"Gift Card": a plastic gift card, digital gift card, receipt containing a pin (pin on receipt), or similar, issued by GBP that allows the Buyer to fund their Payment Account.

"Payment Account": a prepaid payment account created in a limited-purpose payment scheme and therefore not subject to Central Bank of Brazil regulation, held by Buyer with GBP, for the sole purpose of acquiring Products.

"Google": Google LLC.

"Google Account": The account created with Google to use Google services as defined in the Google Terms of Service.

"Google Sites": the pages of websites offered to You by Google, GBP or a Google partner or affiliate company, including Google Play and YouTube.

"Payment": the processing of a payment in the context of a purchase of a Product through the Service that results in the Purchase Amount being debited or charged from Your Payment Account of a Buyer and the crediting of funds to a Seller.

“Play Balance”: the funds You receive when You redeem a Gift Card, which is thereafter maintained by GBP in Your Google Payments account until You choose to buy apps, games, and digital content on Google Play.

"Product": any merchandise, product or service that is listed for sale and that may be paid for by a Buyer using the Service.

"Purchase Amount": the amount in Brazilian reais of a Payment that will be paid by a Buyer for the purchase of a Product and all related duties, taxes or shipping charges, as applicable.

"Service": the service, as described in this Attachment, associated with the provision of the Payment Account, including (i) the redemption of Gift Cards and the contribution of funds to the Payment Account, (ii) the processing of Payments, (iii) Payment Account management, among others.

"GBP", "we" or "us": Google Brasil Pagamentos Ltda., a payment institution and payment scheme settlor that provides payment services solely in the context of its own limited-purpose payment scheme, in accordance with applicable laws and regulations.

2. Registration Requirements

To use the Service, You must complete all required information on the Service registration page. You must create and fund a Payment Account so that it can be used to make Payments and pay fees and other obligations resulting from Your use of the Service, as applicable.

Information that may be required to create and maintain the Payment Account may include, but are not limited to, Your name, contact information, and CPF (National Taxpayer Registry) number. Additional information may be required in accordance with regulatory and contractual provisions applicable to the Services.

YOU ARE RESPONSIBLE FOR PROVIDING ACCURATE REGISTRATION INFORMATION AND FOR KEEPING SUCH INFORMATION UP TO DATE OR FOR NOTIFYING US IMMEDIATELY OF CHANGES, SUBJECT TO ANY CONSEQUENCES SET FORTH IN THIS ATTACHMENT. YOU ARE SOLELY RESPONSIBLE, CIVILLY AND CRIMINALLY, FOR THE INFORMATION PROVIDED TO US. IF YOU MOVE TO AN ADDRESS OUTSIDE BRAZIL, YOU MAY NO LONGER BE ELIGIBLE TO USE THE SERVICES.

We may verify and validate Your registration information at any time with third parties who provide this type of service. To verify Your registration information and comply with applicable regulations and/or internal policies, we may use all forms of verification and validation permitted by applicable Brazilian laws and regulations, including but not limited to consulting public and private databases. In some cases, we may ask You to send us additional information, such as a copy of your identity document, or to answer additional questions to help us verify and validate your identity, as required by applicable laws and regulations.

We will use the information You provide to us to determine whether You are eligible to begin and/or continue to use the Services. The provision and processing of such data is subject to the Google Payments Privacy Notice. When You complete the required information on the Service registration page, as well as provide any validation data required by Google, it represents Your full and unconditional acceptance of the Google Payments Privacy Notice.

If there is any suspicion or identification of any discrepancy, inaccuracy, invalidity or irregularity in relation to Your registration or transactional information, we may immediately suspend or terminate (in accordance with sections 9 and 10 below and in accordance with applicable legal and regulatory requirements) the offer Services to You (including any redemption, Payments or uncompleted balance redemption) and/or request that You update and/or regularize Your registration status with GBP.

In our sole and absolute discretion, we may refuse to approve registrations or terminate existing registrations with or without reason or notice, except as required by applicable law and not waived herein.

3. Gift Cards and Payment Account Transactions

3.1. Eligibility and Redemption

The sole purpose of a Gift Card is to provide funds to Your Payment Account. To view Your Payment Account balance, visit the Google Payments center. For online assistance with Your Gift Card, visit the Google Play help center.

Gift Cards are only valid for users who are at least 13 years of age and who are domiciled in Brazil, subject to parental or legal guardian authorization, when applicable, and the provision of valid and verified registration information, in accordance with section 2 of this Attachment.

The Purchase Amount is deducted from Your Payment Account balance. GBP may provide You with information about the redemption status of the Gift Card You have purchased. Use of Gift Cards is also subject to the Gift Card Terms of Service.

3.2. Limitations

Gift Cards are not redeemable for cash or other vouchers, are not reloadable or refundable, cannot be combined with other Payment Methods, and cannot be resold, exchanged or transferred for value except as required by law.

If the Purchase Amount exceeds the amount available in Your Payment Account, the Payment will be declined unless additional funds sufficient to achieve the Purchase Amount are paid into Your Payment Account or another valid Payment Method is selected to complete the transaction.

ONCE THE GIFT CARD IS PURCHASED, YOU ARE SOLELY RESPONSIBLE FOR ALL RISKS ASSOCIATED WITH IT. GBP IS NOT RESPONSIBLE FOR THE LOSS, THEFT, DESTRUCTION, UNAUTHORIZED USE OR REDEMPTION OF YOUR GIFT CARD BY ANY THIRD PARTY. GBP DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES RELATING TO LOSS OR ANY OTHER MATTER ASSOCIATED WITH GIFT CARDS PRIOR TO REDEMPTION. HOWEVER, IF YOU HAVE ANY TECHNICAL ISSUES REGARDING THE REDEMPTION OF YOUR GIFT CARD, PLEASE DO NOT HESITATE TO CONTACT US THROUGH THE RELATIONSHIP CHANNELS PROVIDED IN THIS ATTACHMENT, THE ADDITIONAL TERMS, OR IN THE PRINTED MATERIALS, IF APPLICABLE.

3.3 Gift Card Expiration Date

The Gift Card has no expiration date and can be redeemed at any time.

3.4 Payment Account Fees and Inactivity

If Your Payment Account is not used for a period of 5 years, GBP may, in GBP's sole discretion, close Your Payment Account and terminate the Services, subject to the procedures set out in section 10 below and applicable laws and regulations. By "use" we mean redeeming a Gift Card, purchasing a Product, requesting redemption of Your existing Payment Account balance, or verifying Your Payment Account balance online.

Notwithstanding the foregoing, if Your Payment Account remains inactive for a period of time determined by law, without GBP closing it or contacting You, GBP may be required by law to handle funds held in Your Payment Account as unwanted resources. If this occurs, we will attempt to locate You based on the most up-to-date registration information that You have provided. If we are unable to locate You, we may be required by law to transfer funds held in Your Payment Account to the government as unwanted funds.

3.5 Fraud

GBP has the right to refuse redemption of a Gift Card or any use or transaction relating to Your Payment Account if we suspect or verify that such redemption, use or transaction is in connection with fraud or any other illegal activity, our sole discretion. We may also suspend or close Your Payment Account for the same reasons, subject to the specific provisions in this regard set out in this Attachment.

3.6. Retention of resources and making debits in the Payment Account

YOU ACKNOWLEDGE AND AGREE THAT GBP IS AUTHORIZED TO: (i) RETAIN ANY FUNDS MAINTAINED IN YOUR PAYMENT ACCOUNT TO SECURE ANY PAYMENT DUE BY YOU TO GBP, GOOGLE, SELLERS OR ANY OTHER PARTY; AND (ii) OFFSET ANY AMOUNT OWED BY YOU TO GBP, GOOGLE, SELLERS OR ANY OTHER PARTY WITH THE RESOURCES IN YOUR PAYMENT ACCOUNT.

4. Limitations on the use of the Services

WE MAY ESTABLISH GENERAL PRACTICES AND LIMITS RELATING TO THE USE OF THE SERVICES, INCLUDING, WITHOUT LIMITATION, INDIVIDUAL OR AGGREGATE AMOUNTS THAT MAY BE REDEEMED OR HELD IN YOUR PAYMENT ACCOUNT AND THE AMOUNT OR QUANTITY OF PAYMENTS THAT MAY BE MADE DURING A SPECIFIED PERIOD. WE RESERVE THE RIGHT TO CHANGE, SUSPEND OR DISCONTINUE ANY PART OR FUNCTIONALITY OF THE SERVICES AT ANY TIME, INCLUDING OPENING HOURS OR AVAILABILITY OF THE SERVICES.

5. Privacy

You understand and agree that information and personal data provided to us in connection with the provision of the Services is subject to our Google Privacy Policy and Google Payments Privacy Notice. Visit the links to learn more about our policies and procedures surrounding cybersecurity and privacy issues.

6. Service Fees

As a general rule, and unless otherwise stated in these Additional Terms or in additional documents associated with the Services, GBP does not charge fees for using the Service as a Buyer.

7. Disputes

GBP provides a variety of tools to help Buyers resolve any disputes that may arise with respect to Payments. For detailed information, see our dispute procedure.

GBP may provide a feedback or other rating system on the Service to help You gauge the opinions of other Buyers on the Service. You acknowledge that any feedback or rating system only represents the opinion of other Buyers of the Service and is not an opinion, statement or guarantee by GBP with respect to Buyers' views of the Service.

To the extent permitted by law, You agree to hold harmless GBP, Google Payment Corporation, Google and other affiliates of GBP, and their agents, contractors, officers and employees, harmless from any claims, demands, losses and damages (whether direct or indirect) arising out of or in any way related to a dispute. YOU AGREE THAT YOU WILL NOT INVOLVE GBP IN ANY LITIGATION OR OTHER DISPUTE ARISING OUT OF OR IN CONNECTION WITH ANY TRANSACTION, CONTRACT OR AGREEMENT WITH ANY SELLER, OTHER BUYER, ADVERTISER OR THIRD PARTY RELATING TO THE SERVICE. IF YOU FAIL TO COMPLY WITH THE FOREGOING, YOU WILL (I) PAY ALL COSTS AND ATTORNEYS' FEES OF GBP, GOOGLE PAYMENT CORPORATION, GOOGLE AND OTHER GBP AFFILIATES AND INDEMNIFY THEM AS SET FORTH BELOW, AND (II) THE VENUE AND APPLICABLE LAW OF ANY LITIGATION OR DISPUTE WILL BE ESTABLISHED AS SET OUT BELOW.

8. Refunds

GBP RESERVES THE RIGHT TO MAKE REFUNDS, AT ITS DISCRETION, IF THERE IS NO OBLIGATION TO DO SO UNDER APPLICABLE LAW OR REGULATION. IF WE MAKE A REFUND, WE ARE UNDER NO OBLIGATION TO MAKE THE SAME OR SIMILAR REFUND IN THE FUTURE.

If You believe that Your Payment Account has been accessed or used in an unauthorized manner, please review our fraud protection process.

Unless otherwise provided in this Attachment, in the Terms or otherwise determined by applicable laws or regulations, Payments processed through the Service are non-refundable to Buyer by GBP and are not reversible by Buyer through the Service.

Unless required by applicable laws or regulations or at the discretion of GBP, the amount of refunds will be re-credited to Your Payment Account for future use on the same terms.

9. Suspension of Services

We may limit or suspend Your use, in whole or in part, of the Services at any time in our sole and absolute discretion. If we suspend or limit Your use of the Services, we will attempt to notify You by email. Suspension or limitation of Your use of the Services will not affect Your rights and obligations under this Attachment existing before or after such suspension or limitation.

We list below some specific situations (not exhaustive) that may cause the suspension or limitation of the use of the Services, in whole or in part:

The situations described above are not exhaustive and do not limit GBP's right to suspend or limit the use of the Services, in whole or in part, based on (i) applicable laws and regulations, (ii) any other provision contained in the Terms or this Attachment or (iii) any Google policy applicable to You.

Depending on the reason that caused the Services to be suspended or limited, we may ask You for additional information, data and documents to resolve the issue.

If You do not respond to our notices or resolve the issue within the stated time frame, we may not authorize any offering of the Service to You, including processing Payments, refunds and redemption of Payment Account balance.

To the extent permitted by applicable law, in the event that we suspend or limit Your use of the Services, You acknowledge and agree that You will not be entitled to any kind of indemnity or compensation.

Any amounts withheld as a result of illegal actions may be used by GBP to comply with court orders and/or to offset any costs, expenses or damages caused directly to GBP or any third party by such actions.

In the event that use of the Services, in whole or in part, is suspended or limited due to any situation described above, GBP may decide to terminate the Services in accordance with the provisions of section 10 below.

10. Termination of Services

We may, in our sole and absolute discretion, without charge, terminate Your Payments Account and Your use of the Services, for any reason, including without limitation:

Upon closing of Your Payment Account and termination of Your use of the Services, You will remain responsible for all Payments and any other obligations you may have incurred under the Terms and this Attachment. Upon such termination, we have the right to prohibit Your access to the Services, including, without limitation, disabling Your username and password, and refusing Your future access to the Services.

If we decide to close Your Payment Account and terminate Your use of the Services, we will attempt to notify You by email. You must provide us, within the time period we indicate in such notice, all information and documents that we request, including but not limited to data and information that allows us to transfer funds You have with us, including your Payment Account balance, to a bank account or payment account held by You.

YOU WILL BE SOLELY RESPONSIBLE FOR PROVIDING CORRECT, ACCURATE AND VALID INFORMATION, IN OUR SOLE DISCRETION, TO ALLOW THE TRANSFER OF FUNDS HELD IN YOUR PAYMENT ACCOUNT IN THE EVENT OF CLOSING YOUR PAYMENT ACCOUNT AND TERMINATION OF SERVICES FOR ANY REASON. IN NO EVENT, EXCEPT AS REQUIRED BY LAW OR REGULATIONS WILL GBP PAY DIRECTLY TO YOU, IN CASH, OR TRANSFER TO THIRD PARTY OWNERING ACCOUNTS, THE AMOUNTS AVAILABLE IN YOUR PAYMENT ACCOUNT.

YOU MUST PROVIDE US WITH VALID AND CORRECT INFORMATION AND DATA TO ENABLE US TO CARRY OUT THE TRANSFER OF RESOURCES. GBP IS NOT RESPONSIBLE FOR THE NON-AUTHORIZATION OF TRANSFERS OR TRANSFERS MADE TO ANOTHER PERSON AND/OR ACCOUNT DUE TO THE PROVISION OF INCORRECT OR INVALID INFORMATION BY YOU. IN ADDITION, ONCE APPROVED, THE REDEMPTION OF EXISTING FUNDS IN THE PAYMENT ACCOUNT CANNOT BE CANCELED, REVERSED OR REFUNDED.

Please note that once the funds have been transferred to the financial institution or payment institution designated by You, GBP WILL NOT BE LIABLE FOR ANY DAMAGE OR LOSS ARISING FROM THE ACTIONS OR OMISSIONS OF SUCH FINANCIAL INSTITUTIONS OR PAYMENT INSTITUTIONS, AS THE CASE MAY BE.

GBP does not charge fees for transfering the balance in Your Payment Account in the event of closing Your payment account. YOU ARE SOLELY RESPONSIBLE FOR ANY FEES THAT MAY BE CHARGED BY THIRD PARTIES FOR PROCESSING SUCH TRANSFERS OF FUNDS, INCLUDING, BUT NOT LIMITED TO, FEES CHARGED BY THE FINANCIAL INSTITUTIONS OR PAYMENT INSTITUTIONS TO WHICH THE FUNDS ARE TRANSFERRED.

NOTWITHSTANDING THE FOREGOING, WE RESERVE THE RIGHT, AT ANY TIME AND IN OUR SOLE DISCRETION, TO REFUSE OR SUSPEND ANY REDEMPTION OF EXISTING BALANCE IN YOUR PAYMENT ACCOUNT IF WE ARE UNABLE TO VERIFY AND VALIDATE YOUR INFORMATION AND/OR IF ANY ILLEGAL ACTIVITY ASSOCIATED WITH YOUR PAYMENT ACCOUNT IS SUSPECTED.

If we are unable to notify You, or if You fail to provide us with valid and correct details of an active bank account or payment account held by You within the time period we provide to You, we will handle the available balance in accordance with applicable laws and regulations. Your failure to respond will not prevent the closure of Your Payment Account and/or the termination of the Services.

If Your account has been closed and You have not provided us with the information or documents we request to transfer Your remaining balance, please contact us through the channels provided in this Attachment or in the Terms so that we can verify that You are still entitled to these features in accordance with the applicable laws and regulations. If so, the funds will be transferred to You in accordance with the procedures set out in this section.

You may terminate Your relationship with GBP at any time, with or without cause. To learn more, see our Help Center. If You decide to terminate Your relationship with GBP and You have any balance in Your Payment Account, You will be required to provide details of an active and valid bank account or payment account held by You in order for the respective funds to be transferred to You. GBP will not be able to transfer such resources to You until it receives the above information. You will remain responsible for any Payments and obligations assumed prior to the date of termination.

11. Applicable Law and Jurisdiction

This Attachment will be governed by the laws of Brazil. Each party agrees to exclusively submit to the jurisdiction of the courts located in the city of São Paulo, State of São Paulo, Brazil. The parties specifically exclude the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act from the application of this Attachment.
